Opportunity Bank Uganda Ltd (OBUL), a member of Opportunity International, is seeking two Governance Officers to join its team in Kampala. The bank provides financial services to low-income earners in Uganda and has over 2 million customers globally. The Governance Officers will provide essential support to shareholders, the Board, Board Committees, and Executive Management to ensure strong corporate governance practices.

The successful candidates will be responsible for coordinating meetings, preparing Board and Committee packs, and maintaining accurate records of attendance, minutes, and resolutions. They will also support the preparation and circulation of shareholder, Board, and Committee resolutions and ensure approved minutes and resolutions are properly signed, indexed, and securely maintained.

The Governance Officers will be required to maintain governance records, statutory registers, and corporate records, and support the Company Secretary in statutory filings and regulatory submissions. They will also monitor compliance with the bank's governance policies, including the Memorandum of Association, Articles of Association, and Directors Code of Conduct.

To qualify for the role, candidates should have a Bachelor's degree in Law or a related field and be an Enrolled Advocate of the High Court of Uganda. Professional training or qualification in Corporate Governance or Company Secretarial Practice is an added advantage. Active membership of a relevant professional body is desirable, and candidates should have 2-3 years of progressive experience in corporate governance, company secretarial, or a related function.

The ideal candidates will have practical experience in Board and Board Committee coordination, minute-taking, preparation of resolutions, and action tracking. They should also have experience in maintaining governance records, statutory registers, and corporate records, as well as supporting statutory filings and governance compliance activities.

Opportunity Bank is looking for candidates with deep knowledge of national banking laws, company acts, and regulatory guidelines. The successful candidates will be required to ensure the bank is compliant with regulatory and statutory requirements and have a high level of emotional intelligence, discretion, and integrity.
