TT Club and UK P&I Club, prominent players in marine insurance, have obtained approval from their members for a proposed merger. The decision was confirmed following two extraordinary general meetings held on October 7 and 8, 2026. The merger is set to take effect on February 20, 2027, pending necessary regulatory approvals. The combined entity, operating under a new parent company, United Transport Mutual Limited (UTM), will have annual premium revenues of approximately $750 million and free reserves of around $888 million.

The merger will bring together UK P&I Club's marine insurance operations and TT Club's activities in container shipping, ports, terminals, and logistics. According to the organizations, UK P&I Club provides coverage for over 250 million tons of owned and chartered vessels, while TT Club offers insurance to around 80% of the global container fleet. TT Club also has a significant presence in over 70 of the world's top 100 ports, giving the proposed group a strong foothold in maritime trade and cargo handling.

The merger is expected to enhance the financial resources and expertise of both clubs. It is anticipated to improve the combined ratio, a key performance indicator for underwriting, by 5%. Despite the merger, both clubs will retain their names, brands, and market presence. Members will continue to receive services from their underwriting, claims, and service teams. UTM will oversee the combined operations, acting as the parent company and overseeing governance, capital management, regulatory compliance, and shared operational functions.

The new structure will allow TT Club and UK P&I Club to maintain their insurance products and underwriting approaches while operating within a broader cooperative insurance group. UTM is also expected to become the parent company for Thomas Miller Holdings, the insurance management company owned by both clubs. Shareholders of Thomas Miller have agreed to the proposed acquisition, which remains subject to regulatory approval.

As part of the restructuring, the management team will undergo changes. Nils Smidgaard has been appointed chairman of UTM's board, with Morten Engelstoft and Jan Falker taking on the roles of co-chairmen. Andrew Taylor will serve as CEO of UTM, while William Beevridge will succeed him as CEO of UK P&I Club. Kevin King will remain CEO of TT Club. Leadership changes will be implemented gradually as the merger progresses.

Morten Engelstoft, CEO of TT Club, stated that the merger reflects the increasing interconnectedness of risks in the shipping, ports, terminals, and logistics sectors. The organizations have assured that existing arrangements with members, brokers, and clients will remain unchanged during the transition period. The merger is still subject to regulatory approvals, with completion targeted for February 2027.

Upon completion, the merged entity will have a significant presence in the marine insurance market. Key points of the merger include:
