Labrafan, a major player in Morocco's pharmaceutical industry, is preparing to open its capital to the public through a listing on the Casablanca Stock Exchange. The transaction, valued at 2.22 billion dirhams, aims to finance the company's strategic expansion and strengthen its presence in both the domestic and international markets. The company plans to use the funds to finance a new acquisition in the pharmaceutical sector.

According to a statement from the company, the subscription price for the shares has been set at 341 dirhams per share. The subscription period will run from November 9 to November 17, with the last day including a deadline of 3:30 pm. The transaction involves a public sale offer that combines a capital increase with the disposal of existing shares, allowing new investors to enter the company's capital.

The transaction consists of two parts: the issuance of 4.105 million new shares, valued at approximately 1.4 billion dirhams, and the disposal of 2.412 million existing shares, valued at 822.56 million dirhams. The total number of shares involved in the transaction is over 6.5 million, with a uniform price of 341 dirhams per share. Special conditions have been set for some employees and qualified managers.

Labrafan expects to use the majority of the proceeds from the transaction to finance its ongoing acquisition of Corporate Investment Holding and its subsidiaries, including the pharmaceutical laboratory Polymedik. The company also plans to seize new investment opportunities, strengthen its financial structure, and facilitate its future access to financing sources through the financial markets.

The company was founded in 1949 by the late Dr. Abdel Rahim Bennis in Casablanca and has become one of the most prominent historical players in Morocco's national pharmaceutical industry. Over the past 75 years, Labrafan has developed its industrial and research capabilities and diversified its therapeutic portfolio. In 2020, Dr. Farid Bennis returned as chairman, marking a new phase of international expansion.

Since its return to the helm, Labrafan has undertaken a series of acquisitions, including the purchase of Amanis Pharma in 2024, specializing in hospital pharmacy and antibiotics, and the acquisition of 75% of Botanik Pharma, operating in the field of food supplements. In February 2026, the company strengthened its European presence by acquiring 60% of the Swiss group Rivopharm.

The listing is expected to expand Labrafan's shareholder base, with the expected shareholding structure indicating that 37.64% of the shares will be available for trading on the stock exchange. Dr. Farid Bennis will retain a direct and indirect stake of 57.47% in the company's capital. The transaction is subject to obtaining the necessary legal approvals, including approval from the Competition Council.
