Guinea Insurance Plc has listed an additional 6.31 billion ordinary shares on the Nigerian Exchange Limited (NGX), following a private placement that raised the company's issued share capital by 54.6%. The newly listed shares were admitted to the Daily Official List of the NGX on October 7, 2026. This development comes as Nigerian-listed companies increasingly turn to the equity market to strengthen their capital bases and support business expansion.

The private placement involved 6,327,779,310 ordinary shares of 50 kobo each at N1.45 per share. However, the actual number of shares listed was 6,307,089,654, a difference of about 20.7 million shares. At the private placement price, the 6.31 billion newly listed shares represent an equity issuance value of about N9.15 billion. The transaction significantly increases Guinea Insurance's equity base and the number of shares available in the market.

With the listing of the additional shares, Guinea Insurance's total issued and fully paid-up share capital has increased from 11,149,638,021 ordinary shares to 17,456,727,675 ordinary shares of 50 kobo each. This represents an increase of 6.31 billion shares in the company's capital base, expanding its outstanding shares by more than half. The NGX said the newly listed shares resulted from the company's private placement and notified trading licence holders and the investing public of their admission to the official list.

The listing gives effect to the exchange of the equity issued under the private placement, allowing the additional shares to become part of Guinea Insurance's listed share capital. According to the NGX bulletin, signed by Godstime Iwenekhai, Head, Issuer Regulation Department, the shares were admitted to the Daily Official List of the NGX on October 7, 2026. This development is expected to enhance the company's visibility and liquidity in the market.

The NGX has been experiencing an influx of listings from Nigerian companies seeking to strengthen their capital bases and support business expansion. For Guinea Insurance, this transaction is a strategic move to boost its equity base and increase the number of shares available in the market. The company's management is expected to provide more insights into the transaction and its implications for the company's future growth.

Chinwe Michael, a Nigerian business journalist, noted that listed companies are increasingly turning to the equity market to raise capital and support business expansion. She highlighted that Guinea Insurance's transaction is a significant development in the Nigerian capital market, demonstrating the growing trend of companies seeking to strengthen their capital bases through equity issuances.

The successful listing of the 6.31 billion shares on the NGX is expected to enhance Guinea Insurance's market presence and provide investors with more opportunities to participate in the company's growth.
